These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”) and Imperial Technologies Limited (“Company,” “we,” “us,” or “our”), a company incorporated under the laws of the Republic of Uganda. These Terms govern your access to and use of the weFundraise platform (“weFundraise”), which is a digital fundraising technology product owned and operated by Imperial Technologies Limited. By accessing or using weFundraise, you agree to be bound by these Terms.

weFundraise is a technology platform that facilitates crowdfunding and fundraising activities between users. Imperial Technologies Limited does not provide banking, escrow, fiduciary, investment, or financial advisory services. The Company does not guarantee fundraising outcomes, donor contributions, or campaign success, and does not act as trustee or custodian of user funds except where temporarily processed via licensed third-party providers.

“Organizer” means a user who creates a fundraising campaign. “Donor” means a user who contributes funds. “Beneficiary” means the intended recipient of funds. “Campaign” means a fundraising request published on weFundraise. “Funds” means monetary contributions processed via licensed payment providers. “Platform” means weFundraise.

Users are responsible for maintaining confidentiality of their accounts and credentials. Imperial Technologies Limited shall not be liable for unauthorized access resulting from user negligence. The Company reserves the right to suspend, restrict, or terminate any account at its discretion where fraud, abuse, impersonation, or violation of these Terms is suspected.

All fundraising content is created solely by users. Imperial Technologies Limited does not verify, endorse, or guarantee the truthfulness of campaigns. Users agree that they are fully responsible for accuracy, legality, and authenticity of all published content. The Company may remove or restrict any campaign without notice where required for legal, compliance, or safety reasons.

All payments are processed through licensed third-party payment providers. Imperial Technologies Limited does not directly process or store full payment credentials. Payouts to verified Organizers or Beneficiaries shall be made within five (5) working days to valid Ugandan bank accounts or registered mobile money accounts after successful verification. The Company reserves the right to delay, hold, or cancel payouts where fraud, forgery, legal breach, or suspicious activity is detected.

weFundraise charges platform fees and/or processing fees, which are disclosed at the point of transaction. Fees may be changed from time to time at the discretion of Imperial Technologies Limited. Total platform-related charges shall not exceed ten percent (10%) of funds raised unless otherwise required by payment processors, regulatory obligations, or operational costs.

Users shall not use weFundraise for unlawful, fraudulent, misleading, or abusive purposes. This includes but is not limited to identity fraud, money laundering, terrorism financing, impersonation, false fundraising claims, or any violation of Ugandan law. The Company may report illegal activity to relevant authorities.

Imperial Technologies Limited reserves full authority to investigate user activity, request verification documents, suspend campaigns, freeze funds, and cooperate with law enforcement or regulators. Such actions may be taken without prior notice where necessary to protect users, the platform, or legal compliance.

Users agree that donation disputes, chargebacks, or payment reversals may result in temporary or permanent withholding of funds. The Company is not responsible for donor payment disputes but may assist in resolution where feasible.

Any dispute arising from or relating to these Terms shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act of Uganda. Arbitration shall take place in Uganda, conducted in English, and the decision of the arbitrator shall be final and binding, subject to applicable Ugandan law.

To the maximum extent permitted by law, Imperial Technologies Limited shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of funds, data, or reputation arising from use of weFundraise.

The Company may suspend or terminate access to weFundraise at any time, with or without notice, where required for legal compliance, fraud prevention, or violation of these Terms. Termination may include restriction or forfeiture of pending payouts.

Imperial Technologies Limited may update these Terms at any time. Continued use of weFundraise after updates constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Republic of Uganda without regard to conflict of law principles.

By using weFundraise, you confirm that you have read, understood, and agree to be legally bound by these Terms issued by Imperial Technologies Limited.
